USA GoMobile is a leading provider of mobile automotive services, empowering franchisees to deliver exceptional customer experiences. We are committed to fostering a strong partnership with our franchisees, and we are seeking an experienced In-House Counsel to provide comprehensive legal support.

Job Responsibilities:

• Franchisee Relations:

  • Provide legal counsel and guidance to franchisees on a wide range of legal matters, including contract interpretation, dispute resolution, regulatory compliance, and general business operations.
  • Review and negotiate franchise agreements, renewals, and amendments to ensure compliance with applicable laws and regulations.
  • Assist in resolving disputes between franchisees and the company, including mediation and arbitration.
  • Provide training and education to franchisees on legal issues relevant to their business operations.

• Corporate Governance:

  • Advise on corporate governance matters, including board meetings, shareholder resolutions, and officer appointments.
  • Ensure compliance with corporate bylaws and applicable state laws.
  • Assist in the preparation of corporate documents, such as minutes, resolutions, and certificates of authority.

• Regulatory Compliance:

  • Monitor and analyze federal, state, and local laws and regulations that impact the company's business operations, particularly those related to franchise law, consumer protection, and labor and employment.
  • Advise on compliance with franchise disclosure requirements, including the preparation and filing of Franchise Disclosure Documents (FDDs).
  • Develop and implement compliance programs to mitigate legal risks.

• Litigation Support:

  • Work with external counsel to manage litigation costs and minimize risk.
  • Develop and implement litigation strategies to achieve favorable outcomes.

Qualifications:

• Admitted to practice law in at least one state.
• Minimum of 1 years of experience in corporate law, franchise law, or a related field.
• Strong understanding of franchise law and regulations, including the Federal Trade Commission's Franchise Rule.
• Excellent written and verbal communication skills.
• Strong analytical and problem-solving skills.
• Ability to work independently and as part of a 1 team.
• Strong work ethic and attention to detail.
